1. Who we are

EverlastX is EVERLASTX CO., LTD., a Thai-registered company based in Chiang Mai. Full company details are available on the Legal Notice page.

2. Services and products

We offer consulting, software development, and related services as described on the Consulting page and confirmed in a written scope document. We also operate online products, including ChiangMai-Tours. Product-specific terms (for example, tour booking terms on ChiangMai-Tours) are published on that product's own website and apply in addition to these Terms.

3. Quotes, orders, and acceptance

Prices listed on this website are indicative starting points. A binding consulting engagement is formed only when we issue a written scope and quote and you accept it in writing (including by email). Each engagement is subject to the specific scope document signed for it.

4. Fees and payment

Unless otherwise agreed in writing, hourly consulting is invoiced monthly in arrears. Fixed-scope engagements are typically invoiced 50 percent on signature and 50 percent on delivery. Payment terms are 14 days from the invoice date.

Payments may be made by credit card, bank transfer, or PromptPay (Thailand). Invoices are issued in Thai Baht by default; EUR or USD are available on request at mid-market rates. Third-party costs (hosting, domains, APIs, licences) and bank or card processing fees are billed separately unless the quote states otherwise.

5. Delivery and acceptance

We deliver against the written scope and agreed milestones. You will have a reasonable review period, typically 7 days, to raise written acceptance feedback against the scope. Work outside the agreed scope is treated as a change request and may be quoted separately.

6. Refunds and cancellation

Refunds and cancellations are governed by our Refund and Cancellation Policy, which forms part of these Terms.

7. Intellectual property

On full payment of all fees, you receive a perpetual, non-exclusive licence to use the deliverables produced specifically for you under the agreed scope, for your own business purposes. We retain ownership of tools, libraries, and methodologies developed or used by us, including any pre-existing components.

8. Confidentiality

Each party agrees to keep non-public information received from the other party confidential and to use it only for the purposes of the engagement. This obligation continues after the engagement ends.

9. Warranties and liability

We provide services with reasonable skill and care. Except as required by applicable law, our total liability for any claim arising out of or in connection with an engagement is limited to the fees you have paid us for that engagement in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential losses.

10. Governing law

These Terms are governed by the laws of the Kingdom of Thailand. The courts of Chiang Mai have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, without prejudice to any mandatory consumer protection rights available to you under your local law.

11. Changes to these Terms

We may update these Terms from time to time. The current version is always published on this page with an updated "Last updated" date. For active engagements, the Terms in force at the time your scope was signed continue to apply unless both parties agree in writing to the change.
